1. Introduction and Acceptance of Terms
These uSource Hub Terms of Service / Buyer Agreement (the “Terms”) are a legally binding agreement between you and uSource Technology, Inc., a Delaware corporation (“uSource,” “we,” “us,” or “our”). These Terms govern your access to and use of uSource Hub, including the uSource mobile applications, websites, Pro Store marketplace, service booking tools, product commerce tools, payment tools, support services, promotions, rewards, and related technology.
Continuous Acceptance by Access; No Separate Signature Required
These Terms and all incorporated policies are accepted by you each time you access or use the uSource Hub. No separate signature is required.
Specifically, by creating an account, opening the uSource Hub mobile application, visiting any uSource website, signing in, browsing Pro Stores, searching, booking a service, purchasing a Product, redeeming a Deal, earning or using uCoins, sending a message, requesting support, or otherwise interacting with the Hub through any device or interface, you affirm that you have read, understood, and agreed to the then-current version of these Terms and every policy incorporated by reference.
uSource may modify, replace, or supplement these Terms or any incorporated policy. For material changes, uSource will provide advance notice and require your affirmative (opt-in) acceptance before your continued use; non-material updates take effect when posted with a new effective date. The current version is posted in the Hub and on our website at all times and is dated with an effective date. Each time you access or use the Hub after that effective date, you accept the then-current version in full.
It is your responsibility to review the current version periodically and to stay current with any updates. Continued access or use of the Hub through a browser, mobile app, API, or other interface after an update is your acceptance of the updated version. If you do not agree with any version, you must stop accessing and using the Hub.
We don't need you to sign anything. By using the platform, you agree to the latest version of these Terms and all linked policies. For material changes, we will notify you and ask you to accept them before you keep using the platform. Minor updates are posted with a new effective date. If you don't agree, please stop using the platform.

| In-Store | A service mode in which the Buyer receives the service at the Pro's designated business location, studio, shop, office, mobile unit, residence, or other approved location. |

| Deals | Promotional offers, discounts, bundles, coupons, limited-time specials, or other offers published through the Deals section or applied to services or products. |
| uCoins | uSource's rewards unit. Unless otherwise stated in a specific promotion, one uCoin equals one U.S. dollar of reward value only when it is validly earned, unlocked, and redeemable under the uCoins Rewards Terms. |
| Transaction | A completed or attempted purchase, booking, order, payment, refund, payout, deal redemption, or other marketplace event processed through the Hub. |
| Service Agreement | The direct agreement between a Buyer and a Pro for a booked service or order. uSource is not a party to the Service Agreement. |

| Collaborative Pro Schedule | A feature that lets a Pro create multiple schedules, invite approved Pros or team members, or increase bookable capacity, subject to uSource policies. |
2. Incorporated Policies
The following policies are incorporated into these Terms by reference and form part of your agreement with uSource: Privacy Notice, Cookie Notice, Community Guidelines, Anti-Sexual Harassment Policy, Refund/Cancellation/Dispute Policy, Service Mode Policy, Product Listing and Fulfillment Policy, Deals & Promotions Policy, uCoins Rewards Terms, Fees/Payments/Payout Terms, Service Guarantee Terms, Incidental Coverage Policy, Store Growth Plans & Auto-Renewal Terms, uCredits Terms, Collaboration Seats Terms, API & Integrations Terms (when applicable), Background Check and Verification Consent (if applicable), the FCRA Disclosure (if applicable), Service Level Agreement, and any other policy or notice posted in the App or on our website from time to time.
3. uSource's Marketplace Role
uSource operates a technology marketplace. uSource does not own, control, offer, perform, supervise, scope, direct, or guarantee services or products offered by Pros, except to the limited extent expressly stated in a separate written policy. Buyers select Pros and are responsible for evaluating whether a Pro, service, product, location, price, and service mode are appropriate for their needs. Pros are independent businesses solely responsible for the services and products they list, sell, perform, deliver, or fulfill.
A Service Agreement is formed directly between the Buyer and the Pro when a booking or order is confirmed through the Hub. uSource is not a party to that Service Agreement and does not become the employer, contractor, subcontractor, partner, joint venturer, agent, or representative of either party.
4. Eligibility, Account Registration, and Account Security
- You must be at least 18 years old and legally capable of entering into contracts.
- You must provide accurate, current, and complete account information and keep it updated.
- You may not create duplicate accounts, impersonate others, or create accounts to abuse promotions, referrals, uCoins, Deals, ratings, refunds, or payments.
- You are responsible for all activity under your account and must protect your login credentials.
- uSource may require identity verification, payment verification, phone verification, email verification, or other fraud-prevention steps before allowing access to certain features.
5. Using uSource Hub
uSource grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Hub for lawful purposes and in accordance with these Terms. You may not copy, scrape, reverse engineer, overload, manipulate, interfere with, or misuse the Hub or any data, ranking, search, pricing, payment, or security feature.
6. Pro Stores, Listings, and Buyer Selection
Pros may create Pro Stores and list services, products, prices, service modes, availability, photos, descriptions, policies, and Deals. uSource may provide search, filtering, ranking, category activation, recommendations, verification badges, reviews, and other tools to help Buyers evaluate options. These tools are informational and do not constitute a guarantee, endorsement, certification, or warranty of any Pro, product, service, price, license, suitability, or outcome.
Buyers are responsible for reviewing each Pro Store, listing, service mode, price, location, cancellation rule, product detail, Deal term, and any Pro-specific condition before confirming a Transaction.
7. Instant Booking and Service Agreements
When you confirm a booking through the Hub, you are entering into a Service Agreement directly with the selected Pro. The Service Agreement includes the selected service or product, service mode, date and time, price, listing terms, in-app messages, applicable policies, and any additional scope accepted through the Hub. uSource is not a party to the Service Agreement.
Instant Booking may be available only where a Pro has published an available time slot, service mode, and price. uSource does not guarantee that any Pro will be available, that any booking will be accepted or completed, or that a service or product will meet your expectations.
8. Service Modes: Onsite and In-Store
uSource supports Onsite and In-Store service modes. In Onsite services, the Pro performs the service at the Buyer's designated premises. In In-Store services, the Buyer receives the service at the Pro's location. Buyers must review the selected service mode before checkout and are responsible for selecting the correct mode.
For Onsite services, Buyers must provide accurate location details, safe access, required permissions, and timely availability.
For In-Store services, Buyers must arrive on time, follow reasonable location rules, and confirm that the location and service are suitable before booking.
Service mode errors, Buyer no-shows, access restrictions, or late arrivals may result in cancellation fees or denial of refund under the Refund/Cancellation/Dispute Policy.
9. Products, Bundles, and Product Orders
Pros may list products in their Pro Store. Products may be purchased independently where supported or bundled with services. Product availability, descriptions, prices, quality, warranties, delivery, pickup, returns, and legal compliance are the responsibility of the Pro unless uSource expressly states otherwise in writing.
uSource may support product fulfillment modes such as pickup, Pro delivery, third-party delivery, or Onsite use/installation. Product refunds, exchanges, and disputes are governed by the Product Listing and Fulfillment Policy and Refund/Cancellation/Dispute Policy.
10. Deals, Promotions, Coupons, and uCoins
uSource may offer platform promotions, and Pros may offer Deals, coupons, discounts, bundles, or specials. Each promotion is subject to its stated terms, including eligibility, expiration, redemption limits, minimum purchase requirements, service/product restrictions, and whether stacking is allowed. Promotions are not cash unless expressly stated.
uCoins are governed by the uCoins Rewards Terms. uCoins may be earned only through qualifying activities and are subject to verification, fraud controls, expiration, clawbacks, and program changes. A referral reward is not earned merely because a referred person creates an account; it is earned only after the qualifying Transaction is completed and verified.
11. Fees, Payments, Taxes, and Payouts
Prices and fees are disclosed in the App before checkout or in the Fees/Payments/Payout Terms. Buyers pay a flat Service Guarantee fee per qualifying confirmed service booking, in the amount disclosed at checkout, which funds the Service Guarantee program described in the Service Guarantee Terms. The Service Guarantee fee is credited or refunded only in the event of a full refund for non-performance or service cancellation (whether Pro-caused, or a Buyer cancellation made before the late-cancellation window); it is retained on partial refunds and Buyer-caused late cancellations. uSource may introduce a separate Buyer fee for product-only orders in the future, with disclosure before checkout. Pros pay the Booking Fee (10%), the Incidental Coverage Fee (1%), payment-processing charges, and other fees described in the Pro Platform Access Agreement and Fees/Payments/Payout Terms. Fees may vary by promotion, tier, category, service mode, market, or program.
Payments must be made through uSource unless the App expressly allows another method. Off-platform payment requests, cash workarounds, fee circumvention, or post-booking side agreements intended to avoid uSource fees are prohibited and may result in account deactivation.
Taxes may apply. Buyers are responsible for taxes charged at checkout. uSource may collect and remit sales tax as a marketplace facilitator in jurisdictions where required by law. Pros are responsible for their own income taxes, business taxes, licenses, permits, and tax filings.
12. Cancellations, Refunds, Disputes, and Payout Holds
Cancellations, refunds, disputes, chargebacks, no-shows, no-access events, product returns, Deal redemptions, and bundled order issues are governed by the Refund/Cancellation/Dispute Policy and any Pro-specific listing terms that do not conflict with uSource policy. uSource may hold, delay, reverse, or offset payments or payouts during a dispute, fraud review, chargeback, safety review, or policy investigation.
13. Ratings, Reviews, and User Content
You may submit ratings, reviews, messages, photos, videos, descriptions, and other content. You must not submit false, misleading, discriminatory, defamatory, abusive, illegal, sexually explicit, private, or infringing content. uSource may moderate, remove, restrict, or decline to display content and may use user content for platform operation, trust and safety, support, marketing, and analytics as described in the Privacy Notice and User Content rules.
14. DMCA / Copyright Notices
uSource respects the intellectual property rights of others and expects users to do the same. If you believe content on the Hub infringes your copyright, please send a notice that complies with 17 U.S.C. § 512(c)(3) to our Designated Agent. The notice must include: (a) a physical or electronic signature; (b) identification of the copyrighted work; (c) identification of the material claimed to be infringing and information sufficient to let us locate it; (d) your contact information; (e) a statement that you have a good-faith belief that use of the material is not authorized; and (f) a statement, under penalty of perjury, that the information in the notice is accurate and that you are the rights holder or authorized to act on the rights holder's behalf.
Designated Agent for DMCA Notices: uSource Technology, Inc., Attn: DMCA Agent, 3808 World Houston Parkway, Houston, Texas 77032. The Agent's contact information is also on file with the U.S. Copyright Office Directory of Designated Agents.
Counter-notices may be submitted to the same address and must comply with 17 U.S.C. § 512(g). uSource will terminate, in appropriate circumstances, accounts of users determined to be repeat infringers.
15. Safety, Conduct, and Community Standards
All users must follow the Community Guidelines and Anti-Sexual Harassment Policy. Prohibited conduct includes discrimination, harassment, sexual misconduct, threats, property damage, unsafe conduct, fraud, illegal services, fake reviews, fee circumvention, prohibited products, and misuse of personal information obtained through the Hub.
16. Suspension, Deactivation, and Enforcement
uSource may warn, restrict, suspend, deactivate, terminate, or otherwise limit accounts or features if we believe a user has violated these Terms, a policy, applicable law, safety standards, payment rules, fraud controls, or marketplace integrity requirements. We may also block future pairings between users after a safety, harassment, dispute, or trust incident.
17. Privacy and Communications
uSource collects, uses, and shares personal data as described in the Privacy Notice and Cookie Notice. By using the Hub, you consent to receive transactional, account, safety, support, booking, payment, and policy communications by app notification, email, phone, SMS, or other methods as permitted by law. You may opt out of promotional communications where required by law, but transactional and safety communications may still be sent.
18. Force Majeure
Neither uSource nor any Pro will be liable for any failure or delay in performance caused by events beyond reasonable control, including natural disasters, severe weather, fire, flood, earthquake, epidemic, pandemic, government action, court order, war, civil unrest, terrorism, labor disputes, supply-chain failure, utility outage, telecommunications failure, third-party service outage, or other causes that could not have been reasonably foreseen or prevented (each a “Force Majeure Event”). The affected party will use reasonable efforts to notify the other party and to resume performance as soon as practicable. Bookings cancelled due to a Force Majeure Event will be handled under the Refund/Cancellation/Dispute Policy without cancellation fees.
19. Disclaimers
THE HUB IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, USOURCE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AVAILABILITY, ACCURACY, SECURITY, QUALITY, SUITABILITY, OR OUTCOME OF ANY SERVICE OR PRODUCT. USOURCE DOES NOT GUARANTEE ANY PRO, BUYER, SERVICE, PRODUCT, DEAL, PRICE, LICENSE, INSURANCE, BACKGROUND CHECK RESULT, RATING, REVIEW, OR TRANSACTION OUTCOME.
20. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, USOURCE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, LOST PROFITS, LOST BUSINESS, LOST DATA, PERSONAL INJURY, PROPERTY DAMAGE, SERVICE QUALITY, PRODUCT DEFECTS, OR CONDUCT OF BUYERS OR PROS, EVEN IF USOURCE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. EXCEPT WITH RESPECT TO THE CARVE-OUTS BELOW, USOURCE'S AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE HUB WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO USOURCE IN PLATFORM FEES IN THE SIX MONTHS BEFORE THE CLAIM, OR (B) USD $100.
Carve-outs from the liability cap. The cap does not apply to: (i) liability for death or personal injury caused by uSource's gross negligence or willful misconduct; (ii) liability for fraud or fraudulent misrepresentation; (iii) statutory liabilities that cannot be limited by contract under applicable consumer-protection law (including, where applicable, the Texas DTPA and similar state statutes); (iv) liability for refunds owed under the Refund/Cancellation/Dispute Policy up to the original Transaction amount; (v) a Buyer's payment obligation for services or products actually received; and (vi) either party's indemnification obligations.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so part of this section may not apply to you. In those jurisdictions, uSource's liability is limited to the maximum extent permitted by law.
21. Indemnification
You agree to defend, indemnify, and hold harmless uSource and its affiliates, officers, directors, employees, agents, and representatives from any claims, losses, damages, liabilities, fines, penalties, costs, or expenses, including reasonable attorneys' fees, arising from or related to your material use of the Hub, your services or products, your content, your material breach of these Terms or policies, your violation of law, your negligence or misconduct, or your interaction with another user. uSource is not entitled to indemnification for losses caused by its own negligence, willful misconduct, or breach of these Terms.
22. Arbitration; Class Action Waiver; 30-Day Opt-Out
Except for claims that cannot legally be arbitrated, small claims that qualify for small claims court, individual sexual assault or sexual harassment claims (which you may bring in court at your election under the Ending Forced Arbitration of Sexual Assault and Sexual Harassment Act of 2021), and claims for injunctive relief relating to intellectual property or platform security, disputes between you and uSource will be resolved by binding individual arbitration administered by JAMS or, if JAMS is unavailable, the American Arbitration Association under their consumer rules. You and uSource waive the right to a jury trial and the right to bring or participate in class, collective, representative, coordinated, consolidated, or mass actions except where a waiver is prohibited by law.
30-Day Opt-Out. You may opt out of this arbitration agreement within 30 days after you first accept these Terms (or any later material amendment to this Section) by sending a written opt-out notice to uSource Legal Department, 3808 World Houston Parkway, Houston, Texas 77032. The notice must include your name, the email address on your uSource account, and a clear statement that you opt out of arbitration. Opting out will not affect any other portion of these Terms.
Seat / Venue. Arbitration will be seated in Harris County, Texas, unless applicable law requires another location or remote proceedings are permitted. The arbitrator has authority to award individual relief only.
23. Changes to These Terms
uSource may update these Terms or any incorporated policy as described in Section 1. The current version is posted in the App and on our website and is dated with an effective date. Updates take effect as of the posted effective date; continued access or use of the Hub after that date constitutes acceptance under Section 1. uSource will notify users of material changes through in-app or email notice and will require affirmative (opt-in) acceptance of material changes before continued use.

Governing Law; Venue; Arbitration Coordination
This document and any dispute arising out of or relating to it are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Subject to the arbitration agreement and any mandatory legal exceptions, any permitted court action must be brought exclusively in the state or federal courts located in Harris County, Texas. Nothing in this provision is intended to override the application of Delaware law to the internal corporate affairs of uSource Technology, Inc. as a Delaware corporation.
If the applicable Terms of Service or Platform Access Agreement contains an arbitration agreement, that arbitration agreement controls the process for resolving disputes. This policy is incorporated into those agreements and must be interpreted consistently with them.
